Motivv Health Studios - Rewards Program Terms and Conditions

I. General Terms and Conditions

Motivv Health Studios, LLC offers qualified participants the opportunity to participate in one or more components of its rewards program ("Rewards Program") through its products and services. These components include Motivv Studios Sweepstakes and/or the Direct Exchange.

Participants may earn virtual currencies and goods such as tickets, coins, and gems ("Virtual Currency") for completing health-related activities. Virtual Currency can be used for chances to win products or services through promotional drawings ("Sweepstakes") or to earn prizes and incentives like HSA contributions, gift cards, and other rewards ("Motivv Rewards").

The Rewards Program Terms and Conditions govern the program and Motivv's relationship with participants. Participation is subject to these rules and supersedes previous terms. Your participation is expressly conditioned on compliance with these Program Rules.

Motivv Health Studios, LLC, 14900 Detroit Avenue #200, Lakewood, Ohio 44107 ("Sponsor," "Company," or "Motivv"). Certain components may be co-sponsored by other third parties. Google and Apple are not sponsors unless expressly stated otherwise.

Eligibility

The Rewards Program is offered only to:

1. Legal residents of the 50 United States, the District of Columbia, Puerto Rico, and Canadian provinces/territories except Quebec, who are at least 18 years of age or have reached the age of majority in their jurisdiction. Minors may receive rewards in their parent/legal guardian's name. Motivv employees, advertising agency staff, and their immediate family members are ineligible. All federal, state, provincial, and local taxes are participants' responsibility. Motivv reserves the right to verify eligibility and require valid identification and taxpayer identification numbers.
2. Only registered users with an Account in good standing may participate. Each participant may maintain only one Motivv Account. Duplicate accounts forfeit Virtual Currency eligibility.
3. Participants are responsible for safeguarding their Account credentials and User ID. If compromised, they must immediately notify Motivv. Motivv is not liable for unauthorized activity resulting from participant negligence.
4. Participants must be legally competent to enter into contracts.

Participation

Earning Virtual Currency

Participants may earn Virtual Currency by completing missions, challenges, or other qualifying activities. The amount awarded per activity is determined by Motivv and may be amended at its sole discretion. Virtual Currency may not be immediately available for use and is accessible through participant accounts.

Virtual Currency

Virtual Currency has no cash value, is non-negotiable, and cannot be redeemed for cash. Participants have no property rights in Virtual Currency. It is for individual use only and may not be transferred, except as expressly provided. Virtual Currency cannot be pooled, combined with other offerings, brokered, bartered, pledged, gifted, sold, or transferred for consideration. Any violation voids the Virtual Currency completely.

Expiration

Participants must maintain an Account in good standing to retain accumulated Virtual Currency. Upon Account termination, all Virtual Currency is forfeited and cannot be reinstated, though new Virtual Currency may be earned.

Employer Consent

If participants access services through an employer, they are solely responsible for complying with company policies regarding eligibility and participation. Virtual Currency accumulation and activity information may be disclosed to the employer. Motivv disclaims liability for employer-employee disputes.

Errors/Corrections/Reversal

Virtual Currency earnings and redemptions as reflected in Motivv records are deemed correct. Motivv reserves the right to correct, modify, or reverse any rewards mistakenly or improperly awarded.

Third-Party Suppliers

Motivv Rewards are typically supplied by third parties not under Motivv's ownership or control. Motivv is not responsible for third-party acts or omissions, including if suppliers cease operations, rewards are canceled or modified, or natural disasters occur. Motivv makes no guarantees about rewards and is not responsible for third-party product operation. Participants' sole recourse is against the third party. By redeeming rewards, participants release Motivv from liability. Allow up to 12 weeks for reward delivery.

No Endorsements

Motivv does not recommend or endorse rewards, incentives, products, or services appearing in the program unless otherwise indicated.

II. Sweepstakes

Eligibility

Sweepstakes are open to legal residents of specified jurisdictions who are at least 18 years old or have reached the age of majority. Minors may receive rewards in their parent/legal guardian's name with required documentation. Motivv employees and their immediate family are ineligible. All federal, state, provincial, and local laws apply. All applicable taxes are winners' responsibility. Sponsor may verify eligibility. Participation constitutes full agreement to these rules.

Promotion Periods

Sponsor may offer sweepstakes while services are active. Start and end dates are posted in the services. The services' clock is official. Motivv reserves the right to change dates in its sole discretion.

How To Enter a Sweepstakes

Earned Virtual Currency (specifically tickets) are automatically entered into sweepstakes. Virtual Currency amounts are shown on "Missions," "Prizes," and other screens. Alternative sweepstakes may be offered with different entry methods and rules.

Sweepstakes Format

The primary format is "Multiple Entry Sweepstakes," which automatically enters participants based on Virtual Currency used, provided they have sufficient funds. Some sweepstakes have entry limits; others depend solely on available Virtual Currency. Virtual Currency may be used in subsequent sweepstakes. Motivv may allow alternative entry methods through Motivv Partners.

Rewards, Approximate Retail Value, and Odds of Winning

Sweepstakes rewards are visible in the application. Duration and reward quantities are published for each sweepstakes. Odds depend on total entries submitted; each entry is equally weighted. Approximate Retail Value information is available in FAQs and materials. Each sweepstakes is administered separately. Refer to support@motivvhealthstudios.com for questions.

Random Sweepstakes Drawing

Within a reasonable timeframe after a sweepstakes closes, Sponsor randomly draws potential winners from eligible entries at Sponsor's or co-sponsor's offices. Drawn entries result in potential winners pending eligibility verification.

Official Rules

Official Program Rules are available at motivvhealthstudios.com/rewards-program-terms-and-conditions. Motivv determines and reveals sweepstakes winners.

III. Motivv Partners Reward Programs

Motivv posts information about and helps administer incentive and reward programs associated with Motivv Partners ("Third-Party Programs"). These may include HSA, HRA, FSA contributions, insurance changes, gift cards, and more.

Motivv reserves the right to correct, modify, or reverse any rewards mistakenly or improperly awarded, including those in Third-Party Programs.

Third-Party Programs may have separate terms not covered by these rules. Motivv is not responsible for third-party acts or omissions and is not liable for losses or penalties, including if third-party suppliers cease operations.

Third-Party Programs may cap total earnings. This could prevent earning full reward amounts or additional rewards beyond the cap. Some activities take time to process.

Motivv makes no guarantees about Third-Party Programs and is not responsible for program operation or any expense, loss, injury, delay, or other matter arising from participation, including failure to fulfill rewards, reward loss or damage, program changes, or termination.

IV. Award of Rewards

Unless otherwise indicated, the following terms apply to Motivv-sponsored rewards. Potential reward recipients are notified through the services, online, email, telephone, or mail.

Rewards Provided by Third-Party Suppliers

Follow instructions provided on the reward, Third-Party Supplier's website, and notification materials. Each reward is subject to third-party terms that govern to the extent they differ from these rules. Rewards are valid through applicable expiration dates. Coupon or discount acceptance is the third-party's responsibility and depends on availability. Coupons and discounts have no cash value, cannot be redeemed for cash equivalents, may be redeemable only once, and may not be combined with other coupons or discounts for the same product.

While Supplies Last

Limited rewards may be available during specific promotion periods, ending when supplies are exhausted or the period ends, whichever is earlier. Unless specified otherwise, each participant may redeem one reward per promotion period.

How to Claim Your Reward

Participants may be required to reply to Sponsor within a specified timeframe or Sponsor may select an alternative recipient.

Required Documentation

Before awarding rewards, Sponsor may require proof of identification, eligibility documentation, and completed forms including Declaration of Eligibility and Release and tax acknowledgments. Completed documentation must be returned within 14 business days or as specified, or the reward may be forfeited.

Forfeiture of Reward

Rewards are forfeited if participants are ineligible, non-compliant with rules, fail to submit documentation, decline acceptance, Sponsor cannot contact them, or notification is undeliverable. Sponsor may select an alternative recipient.

Delivery

Allow up to 12 weeks for reward delivery to the registered address.

Additional Terms

Reward rights are non-assignable and non-transferable. No substitution, exchange, transfer, or cash equivalent is allowed except by Sponsor, who may substitute equal or greater value rewards for unavailable items or force majeure. Motivv will not replace lost or stolen rewards. Only the stated number of rewards per sweepstakes are available. If printing errors result in excess claims, an alternate winner is selected. Fulfilled rewards cannot be canceled or changed and are completely non-refundable. No refunds, exchanges, replacements, currency conversions, or credits are available.

Rewards Are Final

Unless noted otherwise, all rewards are final, cannot be returned, and will not be replaced by Motivv.

Verification

Each potential reward recipient is subject to Sponsor verification, whose decisions are final. An eligible participant is not a winner unless eligibility is verified and the participant is notified of completion.

Taxes and Fees

Participants are responsible for all taxes related to rewards, coupons, or discounts. All applicable federal, state, provincial, and local taxes and fees are recipients' sole responsibility.

IV. Arbitration

The following sections contain an arbitration agreement and class action waiver affecting your legal rights, including court and jury trial rights. The Terms of Service include a dispute resolution provision to which you have already agreed.

Dispute Resolution - Let's Try To Sort Things Out First

Before initiating formal legal proceedings, both parties agree to make good faith efforts to resolve disputes informally. Contact legal@motivvhealthstudios.com to initiate the process. Motivv will make reasonable resolution efforts within a reasonable timeframe. If unresolved within 30 days, either party may bring formal arbitration.

Both Agree to Arbitrate

You and Motivv agree to resolve disputes through final binding arbitration except as noted below. Arbitration is held in your state of residence. For non-U.S. residents, arbitration is initiated in Cleveland, OH or another agreed location. Both parties submit to personal jurisdiction of state or federal Cleveland, OH courts.

Opt-out of Agreement to Arbitrate

Opt out by emailing Motivv within 30 days of first program participation. Include your name, Motivv User ID, mailing address, and opt-out explanation. Send to legal@motivvhealthstudios.com, Subject: Legal Department Arbitration Provision. If you opt out, Motivv will not be bound either.

Arbitration Procedures

Arbitration is conducted by a single arbitrator governed by JAMS rules in effect when initiated (jamsadr.com or 1-800-352-5267). Parties may mutually agree to telephone or written submission arbitration.

Arbitration and Attorney's Fees

Motivv pays arbitration fees for claims under $75,000 unless deemed frivolous. You are responsible for additional costs including attorney's fees and expert witnesses unless required by law. For claims over $75,000, JAMS rules govern fee payment. The arbitrator's written decision is binding. Dispositive motions are allowed. The arbitrator must follow these rules and may award damages, injunctive relief, and attorney's fees. Parties agree not to seek attorney's fees unless claims or defenses are frivolous or asserted improperly. Without arbitration, parties would have jury trial rights. Arbitration costs may exceed litigation costs and discovery may be more limited. Prevailing parties may recover attorney's fees under applicable law. If any arbitration clause is unenforceable, it is severed and remaining provisions apply. If excluded from arbitration, both parties waive jury trials. These provisions apply to claims against Motivv's parent or affiliated companies arising from program participation.

Exceptions to Agreement to Arbitrate

Parties may bring small claims court actions if informal dispute resolution fails. Either party may bring intellectual property infringement claims without prior arbitration or informal resolution.

No Class Actions

Each party resolves disputes individually and cannot bring class actions, consolidated actions, or representative actions. Class arbitrations, class actions, private attorney general actions, and arbitration consolidation are prohibited.

BY AGREEING TO THIS ARBITRATION AGREEMENT, YOU AND MOTIVV ARE GIVING UP COURT AND JURY TRIAL RIGHTS AND CANNOT PARTICIPATE IN CLASS ACTIONS. EACH PARTY MAY ONLY BRING INDIVIDUAL CLAIMS. IF YOU DISAGREE, OPT OUT OR CEASE USING SERVICES.

Survival

The Arbitration Agreement and Class Action Waiver survive account termination or service discontinuation.

Judicial Forum for Disputes

If arbitration does not apply or for non-arbitrable claims, proceedings are brought in Ohio federal or state courts. Both parties consent to venue and jurisdiction there.

Choice of Law

The arbitration provision is governed by the Federal Arbitration Act, not state law. Delaware law governs these Terms of Service and claims, without regard to conflict of laws rules. The UN Convention on International Goods Sales does not apply.

V. Additional Terms and Condition for All Rewards Program Components

General Conditions

Motivv and Motivv Released Parties (parent companies, affiliates, subsidiaries, clients, partners, representatives, consultants, contractors, legal counsel, advertising, public relations, and their officers, directors, employees, and agents) are not responsible for illegible, lost, late, incomplete, misdirected, or undeliverable communications; computer, telephone, satellite, cable, network, electronic, or internet hardware or software malfunctions; service provider unavailability; traffic congestion; technical errors; unauthorized human intervention; incorrect registration information loss; or transmission defects. Participants' sole and exclusive remedy is a refund of Virtual Currency used.

Merchandise Rewards

Merchandise fulfillment by Third-Party Suppliers is subject to product availability and may change without notice. Participants are notified of unavailability and expected availability dates. Services show latest available models at publication time. Unavailable items may be substituted with equal or greater value items or delivered when available at Motivv's option. Third-Party Suppliers may ship pictured models or current comparable alternatives. Defective products are subject to manufacturer warranties; participants have no recourse against Motivv.

Gift Cards

Motivv may offer Gift Cards and Gift Certificates issued by Third-Party Suppliers subject to additional supplier-controlled terms. Motivv is unaffiliated with issuers and they are not sponsors. Gift Cards/Certificates are valid at participating merchants through printed expiration dates except as provided by law. Merchant acceptance is the merchant's responsibility. No photocopies are honored. Gift Cards/Certificates have no cash value and cannot be redeemed for cash equivalents. Unused portions are not returned as cash unless the card states otherwise or law requires. Gift Cards/Certificates are transferable unless noted otherwise. They are void where prohibited. Unless stated otherwise, Gift Cards/Certificates do not include federal, state, or local taxes, which are participants' responsibility. Motivv and Third-Party Suppliers are not responsible for lost, stolen, or mutilated cards or tickets. Some cards require additional shipping and handling charges. Cards do not include gratuities.

Potential Conflict

If conflict exists between the Terms of Service and these rules, the rules take precedence for the Rewards Program. English language versions take precedence over other language versions.

Waiver

Motivv may waive compliance at its sole discretion and may run promotions offering enhanced benefits. Motivv's failure to exercise rights or delay in enforcement does not constitute waiver.

Changes

Motivv reserves the right to change the Rewards Program anytime without notice, including increasing or decreasing Virtual Currency requirements, shortening or extending time periods, adding or removing functionality, or other changes.

Termination/Cancellation

Except for individual sweepstakes with set dates, the Rewards Program has no predetermined end date. Motivv may terminate, cancel, or expire the program or individual participation anytime without notice or cause. "Termination" means ending the program with no further earning or redemption ability; termination does not occur if a replacement/successor program is available offering reasonable earning and redemption means. "Cancellation" means expiring or revoking individual participation eligibility for any reason with or without cause. Termination and Cancellation may result from rule violations, fraudulent account use, or other circumstances. All accrued Virtual Currency expires upon Termination, Cancellation, or Account expiration.

Warranties and Representations

THE REWARDS PROGRAM AND MOTIVV SERVICES ARE PROVIDED "AS IS." MOTIVV DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND INFORMATION ACCURACY FOR REWARDS, THE PROGRAM, AND SERVICES. MOTIVV DISCLAIMS WARRANTIES AGAINST VIRUSES OR TECHNICAL GLITCHES, INCLUDING PERFORMANCE FAILURES, INTERRUPTIONS, DELAYS, OR DEFECTS. MOTIVV OFFERS NO WARRANTY REGARDING PROGRAM PARTICIPATION RESULTS OR INFORMATION, SERVICE, OR OFFERING ACCURACY, RELIABILITY, OR CONTENT FROM DIRECT OR THIRD-PARTY SOURCES. MOTIVV DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICES OR PARTICULAR PARTICIPATION RESULTS.

Prohibited Conduct; CAUTION AND WARNING

YOU ARE PROHIBITED FROM DELIBERATELY DAMAGING OR UNDERMINING THE LEGITIMATE OPERATION OF ANY PROGRAM COMPONENT OR SERVICES, WHICH MAY VIOLATE CRIMINAL AND CIVIL LAWS. IF ATTEMPTED, OR IF YOU VIOLATE PROGRAM TERMS OR MAKE MISREPRESENTATIONS, MOTIVV RESERVES THE RIGHT TO SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED.

Motivv reserves the right to revoke, cancel, suspend participation, or take other action immediately without notice or liability if Motivv believes participants have: (1) violated Program Rules; (2) acted inconsistently with applicable law; (3) engaged in misconduct or wrongdoing; (4) engaged in abusive, fraudulent, inappropriate, or hostile conduct toward Motivv, employees, Motivv Partners, or other participants; (5) program provision is determined to violate applicable law; or (6) for any reason at Motivv's sole discretion.

Modifications to These Rewards Programs Terms and Conditions or the Services

Motivv reserves the right to modify these rules or upgrade, enhance, change, or modify program components by discontinuing programs or aspects thereof. Email or services notice is sufficient to bind participants to modifications. Participants acknowledge Motivv may change, update, revise, limit, supplement, or modify agreement terms and impose new conditions anytime without notice, affecting Virtual Currency value or reward obtainment. Motivv may increase or decrease required Virtual Currency, withdraw or cancel rewards, restrict availability, change benefits or suppliers, or alter conditions. Virtual Currency reliance on reward continued availability is not assured.

Changes are reflected in updated rule versions posted in services. ALL CHANGES ARE EFFECTIVE UPON POSTING. Participants should regularly review rules to stay informed. Last revision dates are noted. Continuing service use after modification notice indicates agreement to revised rules.

Limitations on Liability

BY PARTICIPATING IN THE REWARDS PROGRAM OR RECEIVING REWARDS, YOU AND YOUR HEIRS, EXECUTORS, AND ADMINISTRATORS AGREE TO BE BOUND BY THESE RULES, ALL APPLICABLE LAWS, AND SPONSOR DECISIONS, WHICH ARE FINAL AND BINDING; WAIVE AMBIGUITY CLAIMS; WAIVE ALL CLAIMS AGAINST MOTIVV RELEASED PARTIES REGARDING SERVICES, THE REWARDS PROGRAM, OR ANY COMPONENT, INCLUDING REWARDS, PROMOTIONS, AND INCENTIVES; AND FOREVER RELEASE, DEFEND, INDEMNIFY, AND HOLD HARMLESS THE MOTIVV RELEASED PARTIES FROM ALL CLAIMS, LAWSUITS, JUDGMENTS, CAUSES OF ACTION, PROCEEDINGS, DEMANDS, FINES, PENALTIES, LIABILITY, COSTS, AND EXPENSES, INCLUDING OUTSIDE ATTORNEY'S FEES, ARISING FROM: (I) SERVICES, THE REWARDS PROGRAM, ANY COMPONENT, OR RELATED ACTIVITIES, PARTICIPATION OR INABILITY TO PARTICIPATE, OR REWARDS; (II) TYPOGRAPHICAL, PRINTING, AND OTHER ERRORS IN THESE RULES OR MATERIALS; (III) REWARD CHANGES DUE TO UNAVAILABILITY OR BEYOND MOTIVV CONTROL; (IV) PROGRAM INTERRUPTIONS, POSTPONEMENT, CANCELLATION, OR MODIFICATION; (V) HUMAN ERROR; (VI) INCORRECT TRANSCRIPTION, RECEIPT, OR TRANSMISSION; (VII) TECHNICAL MALFUNCTIONS OR UNAVAILABILITY OF SERVICES, NETWORKS, COMPUTER SYSTEMS, EQUIPMENT, SOFTWARE, OR INTERNET SERVICE; (VIII) INTERRUPTION OR INABILITY TO ACCESS SERVICES VIA INTERNET DUE TO HARDWARE OR SOFTWARE COMPATIBILITY; (IX) LOST, DELAYED DATA TRANSMISSIONS, OMISSIONS, INTERRUPTIONS, OR MALFUNCTIONS; (X) LATE, LOST, STOLEN, MUTILATED, MISDIRECTED, ILLEGIBLE, DELAYED, GARBLED, CORRUPTED, OR DAMAGED SUBMISSIONS; (XI) WRONGFUL, NEGLIGENT, OR UNAUTHORIZED ACTS BY MOTIVV RELEASED PARTIES OR THIRD PARTIES; (XII) LOST, LATE, STOLEN, INCORRECT, MISDIRECTED, DAMAGED, OR DESTROYED REWARDS OR ELEMENTS; OR (XIII) YOUR OR THIRD PARTIES' NEGLIGENCE OR WILLFUL MISCONDUCT. "MOTIVV RELEASED PARTIES" MEANS MOTIVV AND ITS PARENTS, AFFILIATES, SUBSIDIARIES, EMPLOYEES, CONSULTANTS, CONTRACTORS, MEMBERS, SHAREHOLDERS, OFFICERS, DIRECTORS, AGENTS, PREDECESSORS, SUCCESSORS, MOTIVV PARTNERS, CLIENTS, CUSTOMERS, AND VENDORS.

MOTIVV RELEASED PARTIES ARE NOT RESPONSIBLE FOR INJURY OR DAMAGE TO YOU, OTHER PERSONS, OR PROPERTY RELATED TO PROGRAM PARTICIPATION, ANY ACTIVITY, MISSION, CHALLENGE, OR REWARD ACCEPTANCE OR USE. BY PARTICIPATING IN ANY MISSION, CHALLENGE, THE REWARDS PROGRAM, OR USING REWARDS, YOU EXPRESSLY ASSUME ALL LIABILITY AND RESPONSIBILITY AND AGREE PARTICIPATION IS SOLELY AT YOUR OWN RISK.

Damages Exclusion

THE MOTIVV RELEASED PARTIES ARE NOT LIABLE FOR ANY DIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF USE, DATA, BUSINESS, OR PROFITS, ARISING FROM THE REWARDS PROGRAM OR REWARD RECEIPT OR USE, WHETHER FROM CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND WHETHER OR NOT ADVISED OF POSSIBLE LOSS OR DAMAGE. MOTIVV RELEASED PARTIES ARE NOT RESPONSIBLE IF REWARDS CANNOT BE AWARDED DUE TO CANCELLATIONS, DELAYS, OR INTERRUPTIONS FROM ACTS OF GOD, WAR, NATURAL DISASTERS, WEATHER, OR TERRORISM. BY PARTICIPATING, PARTICIPANTS AGREE MOTIVV RELEASED PARTIES ARE NOT LIABLE FOR INJURIES, DAMAGES, OR LOSSES, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES TO PERSONS, INCLUDING DEATH, OR PROPERTY FROM REWARDS, THEIR USE, SERVICE ACCESS AND USE, OR MATERIAL DOWNLOADING OR PRINTING. MOTIVV DISCLAIMS LIABILITY RELATED TO SERVICES.

Some jurisdictions may not allow limitations or exclusions of incidental or consequential damages or implied warranty exclusions, so some limitations may not apply. Check local laws for restrictions.

By accepting a reward, participants agree to allow Motivv and designees perpetual rights to use names, biographical information, photos, likenesses, and statements for promotion, trade, commercial, advertising, and publicity purposes at any time in all media now known or hereafter discovered, including live television worldwide and the internet, without notice, review, or approval and without additional compensation except where prohibited by law. If requested by Motivv, participants provide required consents.

Privacy

For Motivv practices and policies regarding personal information collection, use, and storage, refer to the Privacy Policy, incorporated into these rules by reference. Services use constitutes Privacy Policy acceptance. Motivv and agents, affiliates, subsidiaries, representatives, or service providers may use participants' and referrals' personal information for reward fulfillment and future Motivv marketing.
